Terms of Service

These Terms of Service ("Terms") govern your use of the Opslytica platform operated by Opslytica, LLC ("Opslytica," "we," "us," or "our"), a Virginia limited liability company. By creating an account or using our services, you agree to these Terms.

1. Subscriptions & Billing

Opslytica offers a Free tier and paid plans (Starter, Professional, and Enterprise). Paid subscriptions are billed monthly or annually in advance through our payment processor, Stripe. All prices are in U.S. dollars and exclude applicable taxes.

2. Auto-Renewal

Paid subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date. You will be charged the then-current rate for your plan at each renewal. We will notify you of any price changes at least 30 days before they take effect.

3. Free Trials

We may offer free trials of paid plans. At the end of a trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You will be charged the applicable plan rate at conversion.

4. Cancellation

You may cancel your subscription at any time from your account's Billing page or through the Stripe Customer Portal. Cancellations take effect at the end of the current billing period — you will retain access to paid features until then. After cancellation, your organization reverts to the Free tier with its associated event quotas and feature limits.

5. Refunds

If you are unsatisfied with a paid plan, you may request a refund within 30 days of your initial subscription purchase or within 30 days of an annual renewal. Refund requests after this window are handled at our discretion. To request a refund, contact us at billing@opslytica.com. Refunds are issued to the original payment method and typically process within 5–10 business days.

6. Downgrades & Data Retention

When you downgrade to a lower tier (including the Free tier), your historical data is retained. However, features and event quotas will be limited to those available on your new plan. Event ingestion beyond your new quota will be rejected until the next billing cycle reset.

7. Failed Payments

If a payment fails, we will retry the charge and notify you via email. After multiple failed payment attempts, your subscription may be cancelled and your organization reverted to the Free tier. You are responsible for maintaining a valid payment method.

8. Usage Quotas

Each plan includes a monthly event ingestion quota. Usage resets at the beginning of each billing cycle. If you exceed your quota, additional events will be rejected until the quota resets or you upgrade your plan. We may offer overage pricing in the future with advance notice.

9. Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or are used for unlawful purposes. Upon termination, access is revoked immediately and data may be deleted after a 30-day grace period.

10. Limitation of Liability

To the maximum extent permitted by law, Opslytica's total liability for any claim arising from your use of the platform shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice in the platform at least 30 days before taking effect. Continued use after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
